Test Ride and Events Liability

By participating in Brompton’s rides, I consent to the below:

RELEASE AND WAIVER OF LIABILITY, ASSUMPTION OF RISK, INDEMNITY, AND PARENTAL CONSENT AGREEMENT ("Agreement") for IN CONSIDERATION of being permitted to participate in any way in the Test Ride, I, for myself, my personal representatives, assigns, heirs, and next of kin:

1. ACKNOWLEDGE, agree, and represent that I understand the nature of Bicycling Activities and that I am qualified, in good health, and in proper physical condition to participate in such Activity. I further acknowledge that the Test Ride will be conducted over public roads and facilities open to the public, and upon which the hazards of traveling are to be expected. I further agree and warrant that if, at any time, I believe conditions to be unsafe, I will immediately discontinue further participation in the Test Ride.

2. FULLY UNDERSTAND that (a) BICYCLING ACTIVITIES INVOLVE RISKS AND DANGERS OF SERIOUS BODILY INJURY, INCLUDING PERMANENT DISABILITY, PARALYSIS AND DEATH ("Risks"); (b) these Risks and dangers may be caused by my own actions or inactions, the actions or inactions of others participating in the Test Ride, the conditions in which the Test Ride takes place, or THE NEGLIGENCE OF THE "RELEASEES" NAMED BELOW; (c) there may be OTHER RISKS AND SOCIAL AND ECONOMIC LOSSES either not known to me or not readily foreseeable at this time; and I FULLY ACCEPT AND ASSUME ALL SUCH RISKS AND ALL RESPONSIBILITY FOR LOSSES, COSTS, AND DAMAGES I may incur as a result of my participation in the Test Ride; (d) I acknowledge that Brompton Bicycle will not be liable for any accidents or damages through this ride-out.

Ride Participant Insurance Coverage

Ride participants of local community events will be covered by the local Brompton Public/Products Liability policy, subject to terms and conditions.

Photography Permission

By participating in any Brompton events, you consent to giving Brompton Bicycle Ltd the right to use photographs or video/audio recordings taken of you during the event for promotional purposes and use on our digital channels. 

Customer Promotions and Partner Collaborations

From time to time, we may collaborate with our partners to offer joint promotions, discounts, or marketing campaigns to our customers. Participation in such promotions is subject to the specific terms and conditions set forth by us and/or our partners. We reserve the right to modify, suspend, or terminate any promotional offers at our discretion.

By participating in any partner promotions held between Brompton and the partner company, you consent to:

Participation in such promotions is subject to the specific terms and conditions set forth by us and/or our partners. Personal Data & Privacy

By participating in this partner promotion, you acknowledge that all personal data provided may be collected, processed, stored, disclosed, or otherwise used by Brompton and the company for purposes related to sales and marketing. The handling of such personal data will be governed by Brompton’s Data Protection Policy (https://sg.brompton.com/legal/privacy-policy) and the partner company’s data protection policy.

Consent to Photography

Participants consent to and authorize Brompton to use at its sole discretion, without further compensation to the participants, any of their names, addresses, personal details, photographs, videotapes or any likeness of them for packaging, promotional, advertising, marketing and/or publicity purposes (where not prohibited by written law).

Other Offers

This promotion can be combined with selected ongoing offers, subject to the policies of the participating store. For more details, please inquire directly at the participating store. Brompton reserves the right to make the final decision.

Prizes

Any prizes offered are non-transferable, non-exchangeable and no cash alternative is offered. No requests for extensions or replacements whatsoever will be entertained. Brompton expressly disclaims any warranties express or implied in connection with any prizes to the fullest extent permitted by applicable laws. The prizes may be subject to additional terms and conditions, and participants agree to comply with all terms and conditions applicable to the prizes. In the event that a prize incurs any tax liability, such tax is the sole responsibility of the winner.  

Brompton reserves the right to replace the prize with an alternative prize if circumstances beyond Brompton's control makes it necessary to do so.

Corporate Partner Program (For Companies)

We thank you for your participation in the above program (‘Program’). This Programis specially tailored to provide greater privileges and benefits to our esteemed partner for your esteemed organization.  

The company agrees to provide benefits, as outlined in our agreement, to members of the company for purchases of goods at Brompton, using identification issued by the company, during the Term (as defined below) and/or through other methods specified in Appendix I.

 ▪ Subject to the provisions herein, the company’s participation in the Program will be valid to the agreed term and thereafter may be renewed for such term mutually agreed by both parties (‘Term’).

Place of Promotion

The promotion shall only apply to Brompton Junction Singapore, unless as stated otherwise.

Advertising & Promotional Rights

▪ Any usage of Brompton’s logo in advertising and promotions carried out by the company in connection with this Program must be forwarded to Brompton for its prior review and approval.

▪ For the avoidance of any doubt, the company only has a personal, non-transferable and non-exclusive right to use all trademarks and other marks proprietary to Brompton in such manner as may be permitted by Brompton in writing from time to time. No other rights save as expressly provided for herein are granted to the corporate organisation.

▪ The company shall ensure all members will be well briefed of this Program.

▪ Brompton shall feature the company’s logo or name in such medium and format, from time to time as may be determined and prior approval from The company.

▪ Any usage of the company’s logo in advertising and promotions carried out by Brompton in connection with this Program will be forwarded to the company for its prior review and approval. By providing Brompton the logo and visuals, the company is deemed to have given Brompton their consent to feature it in Brompton’s marketing collaterals.

Confidentiality

▪ Confidentiality: (a) Except as required by applicable law and as set out at sub-para (d) of this provision on confidentiality, each party shall not at any time for any reason whatsoever, disclose to any third party any confidential information as to the state of affairs of The company or its associates (in the case of the corporate organisation) or of the affairs of the company or its associates (in the case of Brompton) which has come to its knowledge in connection with the operation of this Program.

(b) The company shall during the continuance of this agreement and thereafter keep secret and confidential all information relating to this Program and the company undertakes that it will not itself use or divulge to others for their use for any purposes detrimental to the interests of Brompton, any information made available to the company pursuant to the terms mentioned herein.

(c) For the avoidance of any doubt, confidential information for the purposes of this provision shall not include any information that (i) is generally available from public sources or is in the public domain otherwise than as a result of a breach of this Agreement; or (ii) is received from any third party without breach of any non-disclosure obligation; or (iii) has been developed independently by the party receiving such information without reliance on the other party’s confidential information; or (iv) was known to the party receiving such information without any breach of its nondisclosure obligation owed to the party disclosing such information.

(d) Notwithstanding sub-para (a) above, the company agrees that Brompton may disclose any information concerning the company and its associates, and as to their state of affairs, to: (i) the head office of Brompton; (ii) any of Brompton ’s agents, auditors, contractors or third party service providers or professional advisers who provide services or facilities to it under or in connection with the Program and/or the operation of its business, whether in Singapore or outside Singapore; (iii) any person to (or through) whom Brompton assigns or transfers (or may potentially assign or transfer) all or any of its rights and obligations under this agreement; (iv) any person to whom Brompton is under a duty to disclose.

▪ This Agreement shall be binding upon the permitted assigns and successors-in-title of the company and the assigns and successors-in-title of Brompton.

▪ Both parties shall at any time be entitled in its absolute discretion to terminate this Program by giving both parties thirty (30) days’ prior notice in writing whether or not there is any breach of the terms and conditions herein.

▪ The terms of this Agreement may be varied or amended by mutual consent of both parties hereto in writing.

▪ Indemnification: (a) The company agrees to indemnify and hold harmless Brompton from any claims arising from the intended promotion/activity. Brompton is to indemnify and hold harmless the company from any claims arising from the use of the products as intended.

Personal Data & Privacy

▪ Personal Data & Privacy: a) By participating in this partnership, the company agrees and acknowledges that all personal data provided by its members may be collected, processed, stored, disclosed, or otherwise used by Brompton for purposes related to sales and marketing.  The handling of such personal data will be governed by Brompton’s Data Protection Policy (https://sg.brompton.com/legal/privacy-policy). Participants consent to and authorize Brompton to use at its sole discretion, without further compensation to the participants, any of their names, addresses, personal details, photographs, videotapes or any likeness of them for packaging, promotional, advertising, marketing and/or publicity purposes (where not prohibited by written law).

▪ A person who is not a party to this Agreement shall have no rights under the Contracts (Rights of Third Parties) Act 2001 to enforce any of the terms of this Agreement.

▪ This Agreement shall be governed by the laws of Singapore and both parties irrevocably submit to the non-exclusive jurisdiction of the courts of Singapore.

Statement of Integrity

(a) The company warrants and undertakes that the company has and will comply with all applicable antibribery and anticorruption laws. The company acknowledges and agrees that a breach of this warranty and undertaking may be considered by Brompton to be a material breach of this Agreement and Brompton may, at its discretion, suspend or terminate this Agreement.
